CODE OF CONDUCT PROCEDURES

1. Condition of Employment

The Code of Conduct for Florida's Blood Centers is codified in the 'Code of Ethics-Standards of Personal Conduct' and the "Whistleblower Policy'. At the time of employment each employee shall agree in writing to comply with these standards and policies. Certain management personnel are required to do the same on an annual basis. Such agreements, as well as compliance with the Code, are conditions of employment for all FBC personnel.

2. Compliance Officers

The Chief Executive Officer is the compliance officer for all legal, compliance and administrative matters relating to the Code. The Chief Financial Officer is the compliance officer concerning all accounting and control matters.

3.  Questions Regarding the Code

All questions regarding the Code, its interpretation or application should be e-mailed to Dianne Brundage at dbrundage@floridasbloodcenters.org.

4. Reporting

Reporting violations of the Code or any laws, rules or regulations and any observed illegal or unethical behavior may be made using a variety of means, either in writing, by telephone or by e-mail. Such reports may be made anonymously if desired. Employees are encouraged to talk to supervisors, managers and other appropriate personnel.

All violations must be immediately reported to the appropriate supervisor, manager, or another manager. Any manager receiving such a report must immediately advise FBC's compliance officers. Where necessary, an employee may also report violations directly to the compliance officers. If the report relates to a conflict of interest it should be directed to the compliance officers.

Any FBC personnel may request that the report be treated as anonymous, and such a request will be honored whether transmitted by mail, telephone or email.

There will be no retaliation for reporting of actual or possible violations. Such reporting may be anonymous. If not anonymous, the identity of the person will be kept confidential unless it must be revealed in order to fairly enforce the company’s Code or policies or comply with legal obligations.

5. Investigation

The compliance officers will promptly investigate all alleged violations and notify the company’s Board of Directors. The Board of Directors will determine, or designate appropriate persons to determine the actions to be taken in the event of violation of the Code.

6. Discipline for Violators

Disciplinary actions may be taken for:

  • Authorizing or directly participating in actions that violate the Code;
  • Concealing a violation of the Code;
  • Refusing to cooperate in the investigation of a violation of the Code;
  • Failing to detect or report a subordinate’s violation of the Code, if such failure reflects inadequate supervision or lack of oversight; or
  • Retaliation, directly or indirectly, against an individual for reporting a violation of the Code.
Disciplinary action may, when appropriate, include termination.
